We are looking for a talented and commercially minded Corporate Associate to join our Luxembourg team. The role is primarily focused on corporate and transactional work, including M&A, private equity, joint ventures and complex group reorganisations, with a strong exposure to technology-driven business models, digital assets and Web3 projects. This position is ideal for a lawyer with a solid corporate background who also has a genuine interest in tech, blockchain and emerging digital ecosystems, and is keen to work on innovative, cross-border transactions. - Advise on a broad range of corporate transactions, including mergers and acquisitions, private equity investments, joint ventures and group restructurings

  • Draft, review and negotiate transactional documentation (shareholders’ agreements, SPAs, investment agreements, financing documents)

  • Support clients on corporate structuring, governance and cross-border transactions, including Luxembourg holding and financing structures

  • Advise high-growth and technology-driven clients, including those active in digital assets, tokenisation and fintech, primarily from a corporate, structuring and transactional perspective

  • Work on investment and financing arrangements involving innovative asset classes (including, where relevant, token-based or hybrid structures)

  • Collaborate closely with colleagues across corporate, finance, funds and regulatory teams on multi disciplinary matters

  • Qualified lawyer in Luxembourg or another EU jurisdiction

  • 2–4 years’ experience on corporate / M&A / technology law / private equity work

  • Demonstrated exposure to or strong interest in technology, fintech, digital assets or Web3, ideally in a transactional or structuring context (not purely regulatory/compliance)

  • Strong experience in drafting and negotiating transactional documents

  • Excellent legal drafting and communication skills in English (French required; German is a plus)

  • Commercial, pragmatic mindset with an interest in innovative and fast-evolving sectors
